CloseQuest Inc., a Delaware corporation ("we," "us," "our"), provides an online marketplace for working professionals to buy and sell products and services and to participate in an online community. Our platform, which consists of our website, our message/chat feature and related services, is referred to here as the "Services." You (the "user" or "you") use the Services subject to these Terms of Service (the "Terms of Service" or the "Agreement"). The Services are the property of CloseQuest Inc. and its licensors.

By visiting our website or using any Services, you are agreeing to be bound by the Terms of Service. If you do not agree, do not use any of the Services. PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SERVICES. BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY ALL OF THE TERMS, CONDITIONS AND NOTICES CONTAINED IN THIS AGREEMENT JUST AS IF YOU HAD SIGNED THIS AGREEMENT.

PARTIES

This is a legal agreement between you and us for use of any of the Services. This Agreement applies to you whether you are a prospective or actual buyer or seller, or a representative of a prospective or actual buyer or seller. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship between you and us is intended or created by this Agreement.

LIMITED LICENSE

Subject to the terms of this Agreement, we grant to you, during the term of this Agreement, a limited license to access and use the Services. You acknowledge and agree that you will use our Services for personal uses only, and that you are not a commercial buyer or seller. You are welcome to link to our website from your website or social media channels, provided that your website does not imply any endorsement by or association with CloseQuest Inc.

We retain the right to refuse any and all current or future use of the Services, for any reason at any time. Without limiting other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your access and/or refuse to provide the access to the Services to you if you breach any of these Terms of Service, we are unable to verify or authenticate any information you provide to us to create your account, or if we believe that your actions are impermissible or may create liability for us.

Certain parts of the website may be protected by passwords and require a login. You agree not to disclose or share your password with any third party or use your password for any unauthorized purpose. You are responsible for maintaining the confidentiality of your information and password. You shall be responsible for all uses of your registration, whether or not authorized by you. You agree to immediately notify us of any unauthorized use of your registration or password.

We do not request your feedback concerning the Services. Nonetheless, if you provide us with any feedback (including through any contact information or reporting link available on the website or public forums) concerning the Services, you also grant us and our successors a worldwide, non-exclusive, royalty-free, perpetual and transferable license to use, copy, distribute, transmit, modify, prepare derivative works of such feedback, in any media format and through any media channels, including incorporating such feedback on the Services.

If you are a buyer, you acknowledge and agree that your use of the Services or making an offer on or purchasing items via our website does not give you permission to enter the property of any seller or to contact the seller, except as expressly provided by us or the seller.

ELIGIBILITY TO USE SERVICES

THE SERVICES ARE NOT AVAILABLE TO ANY PERSONS UNDER THE AGE OF 18. By using the Services, you affirm (a) that you are at least 18 years of age; (b) any information you provide to us is accurate and truthful and you will maintain the accuracy of such information; (c) you are legally permitted to use and access the Services and take full responsibility for your access, selection and use of the Services; (d) your use of the Services does not violate any applicable law or regulation; and (e) you will maintain accurate credit or debit card information with us if required to access a specific Service.

You will neither use nor permit others to use the Services (a) for any unlawful, invasive, infringing, defamatory, fraudulent, or obscene purpose; (b) to create any virus, worm, Trojan horse, or harmful code; (c) for any illegal or unauthorized purpose; (d) to violate any federal, state, or local laws, including those to such areas as libel, slander, defamation, trade libel, product disparagement, harassment, invasion of privacy, tort, obscenity, indecency, and copyright or trademark infringement; or (e) to alter, steal, corrupt, disable, destroy, trespass, or violate any security or encryption of any computer file, database, or network.

Your use of the Services indicates your explicit consent that the personal information you have provided through the Services is subject to our Privacy Policy, the terms of which are incorporated herein. Please review our Privacy Policy to understand our practices.

YOUR RIGHTS AND RESPONSIBILITIES

You are responsible for providing accurate information to us about yourself and/or your items and/or services, and to inform us if and when that information changes. We cannot be responsible for incomplete and/or inaccurate information.

We strive to create a safe place for buyers and sellers where everyone is treated with courtesy and respect. Abusive, unsafe or threatening behavior on our website or through our messaging and chat features will not be tolerated and may result in immediate termination of your access to Services without notice, at our sole discretion.

The following items are strictly prohibited from being bought or sold via our Services. We will take any and all appropriate action against any user who buys or sells any of the below items via our Services:

(a) Adult content or items, (b) alcohol, narcotics, drugs or prescription drugs, or anything that contains tobacco or alcohol, (c) animals, wildlife, protected animals or plants, (d) any stolen items, counterfeit art, counterfeit autographs, counterfeit money, counterfeit artifacts and cultural heritage items, (d) cryptocurrency, credit or debit cards, coupons or gift cards, stamps, currency and coins, stocks and other securities, (e) any item prohibited by the United States government, (f) used undergarments and socks or used or banned cosmetics, (g) digitally delivered goods that could damage a buyer's devices, be used maliciously, or to invade privacy or surveillance products that are used to record the conversations or activities of others without them knowing, such as wiretap devices or telephone bugs, (h) any equipment prohibited by the FCC (Federal Communications Commission), such as cell, GPS and other signal jamming devices or satellite TV descramblers, (i) items from or to countries, organizations, businesses, or individuals that are embargoed by the United States government or agencies (j) items that encourage, promote, facilitate, or instruct other people to engage in illegal activity, (k) firearms, weapons, explosives and knives, (l) recalled items, cooked food and expired packaged food both for adults and children or expired baby formula, (m) government, police, mass transit, and shipping related items like uniforms and internal documents, or government documents, IDs and licenses, (n) any hazardous, restricted, or regulated materials, including chemicals and any items that pose a biological or chemical hazards (o) human remains and body parts, (p) lock picking devices, (q) chance listings including giveaways, lotteries, sweepstakes, random drawings, raffles and contests, (r) personal or contact information, including mailing lists and website traffic-driving services, (s) any services, including personal relationships and services, and travel services and packages, (t) any real estate unless listed by a licensed real estate professional, (u) event tickets, or (v) slot machines.

NO WARRANTY OR GUARANTEES

You acknowledge and agree that your access and use of the Services and of any items or services purchased via our website is at your own risk. WE MAKE NO WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE, RELATING TO THE ITEMS OR SERVICES BOUGHT OR SOLD ON THE WEBSITE.

All items are sold as-is, where-is. For the products you buy from another user, we are not responsible for acts or omissions from any seller. For the products you buy from another user, CloseQuest does not offer or facilitate returns, warranty or guarantees.

If you buy a product directly on CloseQuest website, unless specified, all items are sold without warranty.

INTERACTION WITH THIRD PARTIES

The Services may contain links to third party websites that are not owned or controlled by us. If you are a user of our website, you hereby represent and warrant that you have read and agree to be bound by all applicable policies of any third party website relating to your use of the Services and that you will act in accordance with those policies, in addition to your obligations under this Agreement. We have no control over, and assume no responsibility for, the content, accuracy, privacy policies, or practices of, or opinions expressed in any third party websites. In addition, we will not and cannot monitor, verify, censor or edit the content of any third party site. By using the Services, you expressly relieve and hold us harmless from any and all liability arising from your use of any third party website.

CONTENT

If you are a seller, we provide you with the right to upload product or service information to our website (the "Content"). By uploading Content to the website, you represent, warrant and agree that you have created the Content yourself or own all necessary licenses and permissions to upload the Content to the website and to provide us with the license or licenses to use the Content for our social media, marketing and any other business purposes. In addition, you represent and warrant that the specifications, prices and other information that you provide about any products are accurate.

You also represent, warrant and agree that you have not and will not contribute any Content that

1. infringes, violates or otherwise interferes with any copyright or trademark of another party;
2. reveals any trade secret, unless the trade secret belongs to you or you have the owner's permission to disclose it;
3. infringes any intellectual property right of another or the privacy or publicity rights of another;
4. is libelous, defamatory, abusive, threatening, harassing, hateful, offensive or otherwise violates any law or right of any third party; or
5. creates an impression that you know is incorrect, misleading, or deceptive about any products. We reserve the right in our discretion to remove any Content from the website, or pursue any other remedy or relief available under equity or law.

All Content is the sole responsibility of the user who uploaded or provided such Content. We may not monitor or control the Content posted to our website. Any use of or reliance on any Content obtained by you through the Services is at your own risk. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted on our Services or endorse any opinions expressed via the website. Under no circumstances will we be liable in any way for any Content or any products featured on our website, including, but not limited to, any errors or inaccuracies in any Content, or any loss or damage of any kind incurred because of the use of any Content or any products featured on our website.

All right, title, and interest in and to the Services, and all material, images and/or text available on or through the website (including, without limitation, text, graphics, logos, button icons, images, audio clips and software), are and will remain the exclusive property of us and our licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in the Terms of Service gives you a right to use our name or any of our trademarks, logos, domain names, software, and other distinctive brand features. You acknowledge that the ownership in any intellectual property rights (including, for the avoidance of doubt, patents, copyright, rights in databases and software, trademarks and trade names whether registered or unregistered and subsisting anywhere in the world) in the Services belongs to us or our third party licensors. Accordingly, any part of the Services may not be used, transferred, copied or reproduced in whole or in part in any manner other than for the purposes of utilizing the Services.

All material, images and text included on the website, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of or licensed by us or our content suppliers and protected by United States and international copyright laws. Such intellectual property laws generally prohibit the unauthorized reproduction, distribution or exhibition of all text, photographic and graphic (art and electronic) images, music, sound samplings and other protected materials. The violation of applicable intellectual property laws may give rise to civil and/or criminal penalties.

DMCA NOTICE

We respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 ("DMCA"). If you believe that your copyrighted work has been copied, reproduced or published in a way that constitutes copyright infringement and is accessible via the Services, please notify support@closequest.com. For your complaint to be valid under the DMCA, you must provide the following information in writing:

1. An electronic or physical signature of a person authorized to act on behalf of the copyright owner;
2. Identification of the copyrighted work that you claim has been infringed;
3. Identification of the material that is claimed to be infringing and where it is located on the Services;
4. Information reasonably sufficient to permit us to contact you, such as your address, telephone number, and e-mail address;
5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and
6. A statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

This procedure is exclusively for notifying us that your copyrighted material has been infringed. The preceding requirements are intended to comply with our rights and obligations under the DMCA, including 17 U.S.C. §512(c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other applicable laws.

In accordance with the DMCA and other applicable law, we have adopted a policy of terminating, in appropriate circumstances, users who are deemed to be repeat infringers. We may also at our sole discretion limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others.

PAYMENTS, PAYOUTS & REFUNDS

PAYMENTS OVERVIEW

CloseQuest facilitates payments between buyers and sellers through secure third-party payment providers such as Stripe. CloseQuest does not directly process or store sensitive financial information. All transactions are subject to the terms and policies of the payment provider. By making a payment, you agree to comply with these Terms and applicable payment provider policies.

PAYMENT AUTHORIZATION

By clicking "Pay Seller", you authorize:

1. The full payment amount to be charged.
2. Release of funds to the seller (subject to any holding or review period).

You also confirm that:

3. You have reviewed the item listing.
4. You intend to complete the transaction in good faith.

PAYMENT METHODS

Accepted payment methods may include:

1. Credit cards.
2. Debit cards.
3. Other methods supported by our payment provider.

CloseQuest reserves the right to:

1. Add or remove payment methods.
2. Restrict payment methods for certain users or transactions.

PAYMENT PROCESSING & HOLDS

To maintain a safe and trusted marketplace:

1. Payments may be subject to review, fraud checks, or temporary holds.
2. Sellers may be required to complete identity verification (KYC) before receiving payouts.
3. Payouts may be delayed if:
   1. Verification is incomplete.
   2. Suspicious activity is detected.
   3. A dispute is under review.

SELLER PAYOUTS

To maintain a safe and trusted marketplace:

1. Funds are transferred to sellers via Stripe.
2. Payout timelines depend on:
   1. Payment provider processing.
   2. Bank processing times.
3. Typical payout timelines range from 5–10 business days after release.
4. CloseQuest shall initiate payout to the seller only after 3 days of buyer receiving the shipment and if the seller uses the CloseQuest platform to ship the item.
5. If the buyer and seller meet in person (local pick-up) to exchange the item and if the payment is made on CloseQuest platform, then CloseQuest will initiate payout same day.
6. If the buyer and seller meet in person (local pick-up) to exchange the item and pay using an external platform, CloseQuest is not responsible for payouts or return refunds.

FEES

1. CloseQuest may charge service or transaction fees.
2. Fees will be disclosed prior to payment.
3. Fees may be non-refundable unless required by law.

REFUND POLICY

GENERAL POLICY

• All sales are considered final unless otherwise stated.
• Items are sold "as-is" by sellers.
• In the case of online transactions paid using the CloseQuest platform/ check out process, once the seller receives the return (tracked via USPS), CloseQuest initiates the refund back to the seller.
• CloseQuest is not responsible for managing refunds for any transactions where payment and/or shipment occur outside the CloseQuest platform.

WHEN REFUNDS MAY BE CONSIDERED

Refunds may be considered in limited cases such as:

1. Item not received.
2. Item significantly not as described.
3. Transaction canceled before shipment. CloseQuest reserves the right to cancel the order if the seller fails to ship the item within 3 days of receiving the order.

In such cases:

1. Buyers must raise a return request and ship the item via CloseQuest platform within 3 days of receiving the shipment.
2. Supporting evidence (photos, communication, etc.) may be required.

PLATFORM ROLE IN DISPUTES

1. CloseQuest website will allow communication between buyers and sellers via the messaging feature to resolve any dispute.
2. We may review disputes at our discretion.
3. Any resolution is not guaranteed.

CloseQuest reserves the right (but not obligation) to:

1. Issue refunds.
2. Reverse transactions.
3. Suspend accounts involved in disputes due to fraud.

REFUND PROCESSING

If a refund is approved:

• Refunds are issued via the original payment method.
• Processing timelines typically range from 5–10 business days.
• Actual timing depends on banks and payment providers.
• The shipping and handling charges are non-refundable.

NON-REFUNDABLE SITUATIONS

Refunds will not be provided for:

1. Return request after three business days of receiving the item.
2. Buyer remorse ("changed mind").
3. Minor differences in condition that were disclosed.
4. Issues arising after confirmation of satisfactory receipt.
5. Incorrect address provided by the buyer.
6. Delays caused by shipping carriers.

CHARGEBACK & PAYMENT DISPUTES

If a buyer initiates a chargeback:

1. CloseQuest may:
   1. Suspend or restrict the buyer's account in case of fraud.
   2. Investigate the transaction.
2. Sellers and Buyers agree to cooperate with dispute investigations.

Fraudulent chargebacks may result in permanent account suspension.

RETURNS & CANCELLATION POLICY

GENERAL POLICY

• All items listed on CloseQuest are sold by individual sellers and are considered "as-is" unless explicitly stated otherwise in the listing.
• CloseQuest is a platform provider only and does not own or inspect items.
• The buyer can initiate a return within three business days of delivery.

WHEN RETURNS MAY BE REQUESTED

A buyer may request a return only in the following situations:

1. Item Significantly Not as Described (e.g., wrong item, major undisclosed damage).
2. Item Arrived Damaged (due to shipping, with evidence).

Return requests must:

1. Be initiated within 3 business days of delivery.
2. Include supporting evidence (photos, description, communication history).

NON-RETURNABLE SITUATIONS

Returns will not be accepted for:

• Return request after three business days of delivery.
• Change of mind or buyer remorse.
• Minor differences in condition (e.g., small wear if disclosed).
• Incorrect size, fit, or expectations.
• Delays caused by shipping carriers.

CloseQuest may, at its discretion, review disputes and facilitate resolution.

CloseQuest is not obligated to enforce returns but may intervene in cases of clear policy violations.

RETURN SHIPPING

If the item is eligible for return:

• The buyer is responsible to initiate returns from the CloseQuest website page - My Dashboard, schedule the return shipment and track the return order.
• The item must be returned in the same condition as received.

CloseQuest is not responsible for items lost during return shipping.

The shipping and handling charges are non-refundable.

REFUNDS AFTER RETURN FOR ONLINE ORDERS

1. Refunds will be processed after the seller receives the item.
2. Refunds are issued via the original payment method through Stripe.
3. Processing timelines typically range from 5-10 business days.

ORDER AND PAYMENT CANCELLATIONS

Once the order is placed, order & payment cancellation is no longer possible.

ABUSE & FRAUD PREVENTION

To maintain a trusted marketplace:

1. CloseQuest reserves the right to deny returns in cases of suspected abuse.
2. Repeated false claims or misuse of the return process may result in account suspension.
3. CloseQuest reserves the right to suspend a user account if an in-correct or in-appropriate listing is posted.
4. CloseQuest reserves the right to pull down a listing if found in-correct or in-appropriate per CloseQuest item policy.

PLATFORM LIMITATION

CloseQuest:

1. Does not guarantee returns or refunds.
2. Is not responsible for seller decisions.
3. Does not take possession of returned items.

TAXES

1. Buyers and sellers are responsible to pay for applicable taxes.
2. CloseQuest may collect or report taxes where required by law.

PAYMENT SECURITY

1. Payments are encrypted and processed via secure third-party provider, Stripe.
2. CloseQuest saves:
   1. The token-id provided by Stripe (3rd party payment processor).
   2. The last 4 digits of Payment Card and Bank Account number.

CloseQuest will not save full card or account details.

If you are a California resident, in accordance with Cal. Civ. Code 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112 Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

RENTAL LISTINGS & ROOMMATE TERMS

PLATFORM ROLE

CloseQuest provides a platform for users to:

• List rental properties (rooms, apartments, homes).
• Find roommates or shared housing.

CloseQuest is not a landlord, broker, real estate agent, or property manager and does not own, lease, or control any property listed on the platform.

All rental agreements are solely between users.

USER RESPONSIBILITY

Users are fully responsible for:

1. Verifying property details, ownership, and legitimacy.
2. Conducting people/ user background checks or screenings.
3. Reviewing lease terms before entering into agreements.

CloseQuest does not verify:

1. Property ownership.
2. Identity of landlords or tenants beyond basic account verification.
3. Accuracy of listings.
4. User background and criminal checks.

RENTAL LISTINGS

Users posting rental listings agree to:

1. Provide accurate and truthful information.
2. Clearly disclose rent, deposit, terms, and availability.
3. Comply with all applicable local, state, and federal housing laws.

Misleading or fraudulent listings may result in removal and account suspension.

ROOMMATE MATCHING

CloseQuest may allow users to connect with potential roommates.

1. CloseQuest does not guarantee compatibility, behavior, or reliability of users.
2. Users must independently evaluate roommate suitability.

PAYMENTS & DEPOSITS

Rent payments, deposits, or other financial arrangements are handled directly between users.

LEASE AGREEMENTS

1. CloseQuest does not create, review, or enforce lease agreements.
2. Users are responsible for drafting, reviewing, and signing legally binding agreements.

We recommend consulting legal professionals where necessary.

PROHIBITED LISTINGS

Users shall not list:

1. Properties they do not have the legal right to rent.
2. Illegal or unsafe housing.
3. Discriminatory listings that violate fair housing laws.
4. Listings intended to scam, mislead, or defraud.

SAFETY & CONDUCT

Users agree to:

1. Communicate respectfully.
2. Avoid harassment, discrimination, or unsafe behavior.
3. CloseQuest is not responsible for any mis-conduct, harassment, discrimination or un-safe behavior.

CloseQuest may suspend or terminate user accounts or listings for violations.

NO WARRANTY OR GUARANTEE

CloseQuest does not guarantee:

1. Accuracy of rental listings.
2. Availability of properties.
3. Suitability or safety of housing or roommates.

All interactions are at the user's own risk.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, CloseQuest is not liable for:

1. Rental disputes between users.
2. Property conditions or damages.
3. Losses related to rental agreements or roommate arrangements.

DISPUTES BETWEEN USERS

1. CloseQuest will not facilitate communication and is not obligated to resolve disputes.
2. Users are responsible for resolving disputes independently.

COMPLIANCE WITH LAWS

Users must comply with:

1. Local rental and tenant laws.
2. Fair housing regulations.
3. Any licensing or registration requirements.

TERMINATION

CloseQuest reserves the right to:

1. Remove listings.
2. Suspend or terminate accounts.

FRAUD & MISREPRESENTATION

1. Any fraudulent activity may result in immediate removal and legal action.
2. CloseQuest may report suspicious activity to relevant authorities.

CLOSEQUEST PROFESSIONAL PULSE (USER FORUM) - TERMS & CONDITIONS

OVERVIEW

CloseQuest Professional Pulse ("Professional Pulse" or "Forum") is a community space where users can:

1. Share perspectives, experiences, and opinions.
2. Engage in discussions relevant to working professionals.
3. Learn from peer insights.

By participating in the Forum, you agree to comply with these Terms & Conditions.

NATURE OF CONTENT

1. Content shared on Professional Pulse reflects individual user opinions only.
2. CloseQuest does not endorse, verify, or guarantee the accuracy of any content.
3. Users are solely responsible for what they post.

ANONYMOUS COMMENT POSTING

1. CloseQuest may allow users to post content anonymously on the platform.
2. While posts may appear anonymous publicly:
   1. CloseQuest may retain user identity internally for safety, moderation, and legal compliance.
3. Anonymous posting must not be used to bypass rules or engage in harmful behavior.

ACCEPTABLE USE

You agree to use the Forum respectfully and professionally.

You may not post:

1. Harassment, hate speech, threats, or abusive language.
2. Defamatory, false, or misleading statements.
3. Confidential, proprietary, or sensitive workplace information.
4. Personally identifiable information (yours or others).
5. Content that violates any law or regulation.

PROFESSIONAL CONDUCT

As a platform designed for working professionals:

1. Discussions should remain constructive and respectful.
2. Disagreements are allowed, but must not become personal attacks.
3. Content should aim to inform, engage, or contribute meaningfully.

CONTENT OWNERSHIP & LICENSE

By posting content on Professional Pulse, you:

1. Retain ownership of your content.
2. Grant CloseQuest a worldwide, non-exclusive, royalty-free license to:
   1. Display, distribute, and promote your content.
   2. Use content for marketing or product improvements.

MODERATION & ENFORCEMENT

CloseQuest reserves the right to:

1. Remove or edit content at its discretion.
2. Restrict, suspend, or terminate user accounts.
3. Limit visibility of posts that violate guidelines.

Moderation decisions are final.

REPORTING & SAFETY

Users may report content that:

1. Violates these Terms.
2. Feels unsafe or inappropriate.

CloseQuest will review reports but does not guarantee action on every report.

NO CONFIDENTIALITY

1. The Forum is a public or semi-public space.
2. Do not share information you expect to remain private.

CloseQuest is not responsible for how others use shared information.

NO PROFESSIONAL ADVISE

Content on Professional Pulse:

1. Does not constitute professional, legal, financial, or medical advice.
2. Should not be relied upon as such.

Users should seek qualified professionals where appropriate.

LIMITATION OF LIABILITY

CloseQuest is not responsible for:

1. Content posted by users.
2. Actions taken based on Forum discussions.
3. Any disputes arising from interactions.

ABUSE & MISUSE

Misuse of the Forum, including:

1. Spam;
2. Coordinated manipulation;
3. Repeated violations;

may result in permanent account suspension.

UPDATES TO TERMS

TERMINATION

Upon any breach by you of this Agreement, we may pursue, in our sole discretion, all of our legal remedies, including but not limited to termination of your account and your ability to access this Services. We may also in our sole discretion and at any time discontinue providing the Services, or any part thereof, with or without notice. You agree that any termination of your access to the Services may be effected without prior notice, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and material in your account and/or bar any further access to such information or to the Services. Further, you agree that we are not liable to you or any third party for any termination of your access to the Services.

LIMITATION OF LIABILITY; INDEMNIFICATION

You use the Services at your own risk. We will not be responsible or liable for any harm, injury or damage suffered by you or items you purchase on our website as a result of your use of the Services or of the items bought or sold on our website. We are not responsible for any loss, harm or damage suffered by or to any individuals or products as a result of such users' use of the Services or while buyers and sellers are interacting or meeting to exchange items and/or payment.

To the maximum extent permitted by applicable law, you agree to hold harmless and indemnify CloseQuest Inc. and its employees, officers, agents, or other partners, from and against any third party claim arising from or in any way related to your use of the Services, including any liability or expense arising from all claims, losses, damages (actual and/or consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature including physical or monetary harm or civil or criminal claims. We shall use good faith efforts to provide you with written notice of such claim, suit or action. In addition, you expressly waive and relinquish any and all rights and benefits which you may have under any other state or federal statute or common law principle of similar effect, to the fullest extent permitted by law.

GENERAL PROVISIONS

This Agreement is void where prohibited by law, and the right to access and use the Services is revoked in such jurisdictions.

This Agreement, together with our Privacy Policy constitutes the entire agreement between you and us and governs your use of the Services, superseding any prior agreements or contemporaneous agreements between you and us. Please review our Privacy Policy carefully.

We reserve the right, in our sole discretion, to change, modify, add or remove portions of this Agreement, at any time. It is your responsibility to check this Agreement periodically for changes. The latest version of this Agreement supersedes any previous versions of this Agreement. Your continued use of the Services following the posting of changes will mean that you accept and agree to the changes. If you do not agree to the new terms, please stop using the Services.
